TalkTools® Workshop Agreement - Domestic Partner (CO-HOSTED)

Thank you for partnering with TalkTools®  to co-host one of our training events. This agreement is made between ,  (hereinafter known as “Workshop Partner”), and TalkTools, LLC (hereinafter known as  "TalkTools®"), a South Carolina Corporation located at 2681 Spruill Avenue, Suite A, Charleston, SC. The Workshop Partner is contracting with TalkTools® to provide the Training and Education Services listed below:

Registrations

    • Registrations are open to the public and posted on the TalkTools® website
    • TalkTools® sets the registration price and is responsible for managing registrations and sales

Promoting and Advertising Workshop

    • TalkTools®  is responsible for posting and advertising the workshop on our website and marketing through our network and on our social media channels
    • TalkTools® is responsible for providing social media graphics and/or email templates at the request of Workshop Partner
    • Workshop Partner is also responsible for marketing the course through their network, colleagues and social media channels

Instructor Fees

    • TalkTools®  is responsible for payment of Instructor Fees and any travel costs in advance of the workshop

CEUs

    • TalkTools® will file CEUs on behalf of workshop participants at no cost to the Workshop Partner

In-Person Workshops

    • Course Enrollment: Prior to the workshop date, TalkTools® will enroll participants in the online module of the workshop, which includes digital handouts, Course Exit (CEU) Survey and Certification of Completion.

    • Venue:  Workshop Partner will make every effort to secure free/complimentary meeting space. Meeting space should include:

      • A/V: meeting space must include projector and screen and connection to laptop.

      • Room set-up: meeting space must accommodate minimum of 25 people classroom-style (table with 2-3 chairs) + additional tables for Instructor’s materials/tools and a table for products.

      • Light Catering: Workshop Partner will furnish light, low-cost refreshments (coffee, water, light breakfast items, snacks).
    • Instructor Travel: TalkTools® will coordinate and pay for travel
    • Ground Transportation:  Workshop Partner will coordinate ground transportation for the Instructor (to/from airport/hotel/workshop venue). If Workshop Partner is unable to provide ground transportation, Workshop Partner and TalkTools® will share any ground transportation costs incurred by the Instructor (i.e., ride share -- Uber/Lyft -- or taxi)
    • Materials
      • Prior to the workshop date, TalkTools® and Workshop Partner will coordinate shipment of workshop materials practicum kits (hands-on learning supplies), products for onsite purchases, and any other materials) to workshop venue.
      • Workshop Partner is responsible for reviewing the practicum kit list, so they are familiar with the contents
      • TalkTools® and Workshop Partner will share shipping costs

Virtual Workshops

    • Course Enrollment: TalkTools® will enroll participants in the online module of the workshop, which includes digital handouts, required Course Exit (CEU) Survey and Certificate of Completion.
    • Registration List: Workshop Partner 

    • Materials

      • TalkTools® will ship practicum kits (hands-on supplies) individually to each remote participant

      • Workshop Partner is responsible for a portion of shipping costs (up to $100)
    • Virtual Meeting Platform: TalkTools® or Workshop Partner will manage virtual meeting set-up (i.e., Zoom) and facilitate the virtual workshop.

Workshop Partner Thank-You Tool Kit

    • TalkTools will send a complimentary “tool kit” of our latest and most popular tools/products (valued at $300)

Workshop Partner Responsibilities

  • Workshop Point of Contact:  Workshop Partner agrees to provide a Point of Contact BEFORE, DURING AND AFTER the workshop and will provide name and cell.
  • TalkTools CEU Policy: Workshop Partner agrees to review and understand TalkTools® CEU Policy
  • Marketing: Workshop Partner agree to assist with workshop promotion and marketing, including: 
    • Sending promotional emails to email distribution list database
    • Posting the workshop to Workshop Partner website and social media channels, as applicable
  • In-Person Workshops
    • Shipping Address: Workshop Partner agrees to provide a shipping address to TalkTools® 30 days prior to the workshop date.
    • Meeting Space: Workshop Partner will make every effort to secure meeting space at no charge to TalkTools® that seats a minimum of 30 participants, classroom style. (seats  w/ tables or desks). The venue should include the following:
      • LCD projector and screen with tie-in to computer
      • Speakers (Audio for video presentations) with tie into computer
      • Lavaliere (wireless) microphone (if it is a large room and/or class or requested by the Instructor)
      • Flipchart with markers (if requested by the Instructor)
      • Podium or sometimes a stool (if requested by the instructor) 
      • 4’- 6’ table in front of room for Instructor tools and supplies
      • 4'-6' table in the back of the room (for TalkTools® products and other workshop-related materials)
    • Onsite Event Support: Workshop Partner will provide a point of contact (POC) who will be onsite before, during and after the workshop to assist with set-up, registration, order taking, and general assistance to the Instructor.
    • Catering: Workshop Partner agrees to provide minimum catering for the workshop. This can include light breakfast items, snacks and water. Additional catering, such as expanded breakfast or lunch, is at the discretion of the Workshop Partner. If Workshop Partner is not providing lunch, it is requested that a listing of nearby restaurants is provided to workshop participants. 
    • Ground Transportation for Instructor: Workshop Partner agrees to coordinate ground transportation for the Instructor (to/from airport/hotel/workshop venue) and will provide TalkTools® with ground transportation Point of Contact name and cell. If Workshop Partner is unable to provide ground transportation, Workshop Partner must inform TalkTools® 7 days prior to the workshop date.
  • Virtual Workshops
    • Virtual Meeting Platform: Workshop Partner has the option to provide the virtual meeting platform for the workshop;  if this is not available, TalkTools® will provide the virtual meeting platform.

Additional TalkTools® Responsibilities

  • Marketing and Registrations
    • Managing the registration process, including:  tracking, payment and communications
    • Marketing and promotion of the workshop event
    • Providing marketing material to Workshop Partner
  • In-Person Workshops
    • TalkTools® will manage Instructor travel and expenses
    • Venue: If Workshop Partner has exhausted all effort to secure adequate meeting space for the workshop, TalkTools® will book meeting space at no charge to the Workshop Partner
    • Shipping Materials: Assemble and ship materials (handouts, practicum/hands-on learning supplies, and products for purchase) to the shipping address provided by Workshop Partner 5-10 days prior to workshop.
  • Virtual Workshops:
    • Virtual meeting platform: If Workshop Partner does not have access to a virtual meeting platform, TalkTools® will provide their virtual meeting platform for the workshop
    • Digital handouts to each participant
    • Individual practicum kits will be shipped to each participant

Cancellation

  • Force Majeure: If the workshop is canceled due to weather, or illness of the presenter or private group participants, or other unforeseen circumstances beyond the impacted Party's control, both parties agree to either reschedule or cancel the event with no further obligation to either party.
  • Should the minimum attendance required not be met by 3 weeks in advance of the workshop date, TalkTools® reserves the right to cancel the workshop and refund participants any workshop registration fees.  TalkTools® will provide Workshop Partner written notice of its intent to cancel the event at no further expense to TalkTools® and no further obligation by either party.

Note: the use of cameras, audio recording devices and video recording devised is prohibited.
